Terms of Service

These Terms of Service (the “Terms”) are a legal agreement between you and Senmark Industries (“Senmark,” “we,” “us”) governing your access to and use of the Senmark portal at app.senmarkpulse.com (the “Service”). They also serve as the End User License Agreement (EULA) for the Service. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you are authorized to bind that company.

The Service is a business-to-business procurement and operations platform. Subject to these Terms, we grant your company a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. You may not resell, sublicense, copy, reverse-engineer, or attempt to extract the source code of the Service except as permitted by law.

You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use.

As between you and Senmark, your company owns the business data it enters into the Service. You grant us the rights needed to host, process, and display that data to provide the Service. Our handling of personal information is described in our Privacy Policy.

The Service can connect to third-party services you choose to authorize - including QuickBooks Online (Intuit), Google (Drive, Gmail), and Stripe. When you connect one, you authorize us to access it on your behalf to provide the related feature, and your use of that service remains subject to that provider’s own terms. You can disconnect any integration at any time. We are not responsible for third-party services or their availability.

• Do not use the Service for any unlawful purpose or in violation of any applicable export, defense, or trade-control regulations.
• Do not interfere with, disrupt, or attempt to gain unauthorized access to the Service or other companies' data.
• Do not upload malicious code or content you do not have the right to use.

Some features use third-party artificial-intelligence providers to extract information or generate recommendations (for example, suggested pricing or document fields). These outputs may be incomplete or inaccurate and are provided to assist you, not to replace your judgment. You are responsible for reviewing and verifying them before relying on them.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Service is a business tool and does not constitute professional, financial, legal, or accounting advice. We do not warrant that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, Senmark will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of these Terms will not exceed the amounts you paid us for the Service in the twelve months before the claim.

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or its users. On termination, your right to use the Service ends; you may request an export or deletion of your data, subject to legal retention requirements.

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. We may update these Terms from time to time; we will revise the “Last updated” date above and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.
